These Terms of Service ("Terms") govern your use of the TSmartRoute platform and services provided by TSmartRoute ("we", "our", or "us"). By accessing or using our services at tsmartroute.com, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations.

2. Description of Service

TSmartRoute provides a cloud-based route optimization and logistics management platform for food distributors and delivery businesses. Our services include:

  • Multi-stop route optimization and planning
  • Product catalog and inventory management
  • Customer and delivery address management
  • Third-party integrations (e.g., QuickBooks) for data synchronization
  • Reporting and analytics

3. Account Registration

You must create an account to use our services. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

4. Multi-Tenant Workspaces

Our platform operates on a multi-tenant model. Each workspace is isolated and data is strictly separated between tenants. You may only access data within workspaces you are authorized to use.

5. Third-Party Integrations

5.1 QuickBooks Integration

Our platform offers integration with Intuit QuickBooks for product and inventory synchronization. By connecting your QuickBooks account:

  • You authorize us to access your QuickBooks product and inventory data
  • You acknowledge that data flows between QuickBooks and our platform as necessary for the integration
  • You can disconnect the integration at any time, which will revoke our access to your QuickBooks data
  • We are not responsible for any changes, errors, or data loss within QuickBooks itself

5.2 General Integration Terms

Third-party integrations are subject to the respective third party's terms of service and privacy policies. We do not guarantee the availability or accuracy of third-party services.

6. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Attempt to gain unauthorized access to other users' data or workspaces
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Use automated systems or bots to access the platform without authorization
  • Upload malicious code, viruses, or harmful content
  • Resell or redistribute the platform without our written consent

7. Data Ownership

You retain ownership of all data you input into the platform. We do not claim any intellectual property rights over your business data, customer lists, product catalogs, or route information. We only use your data to provide and improve our services as described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the platform. We may perform scheduled maintenance with advance notice. We are not liable for any temporary unavailability due to maintenance, updates, or circumstances beyond our control.

9. Fees and Payment

Certain features of TSmartRoute may require a paid subscription. Pricing and payment terms will be communicated at the time of purchase. We reserve the right to change pricing with 30 days' notice.

10. Limitation of Liability

To the maximum extent permitted by law, TSmartRoute shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

11. Indemnification

You agree to indemnify and hold TSmartRoute harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the platform will be revoked and your data will be handled according to our data retention policy described in the Privacy Policy. You may request a data export before termination.

13. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or through a notice on the platform at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
